Tata Capital IPO gets board’s approval; what we know so far

Tata Capital, the NBFC arm of the Tata Sons Limited is gearing up for its IPO after the board’s approval. The Reserve Bank of India (RBI) had mandated the Tata Capital to list by September 2025 under its norms for ‘upper-layer’ NBFCs for 2024-2025.

What we know so far:

  • Tata Capital will issue 23 crore new shares through its IPO.
  • The IPO will also include an offer for sale from the existing shareholders.
  • The board has approved a rights issue worth Rs 1,504 crore for existing shareholders on February 25, 2025.
  • The date, price and other key details are yet to be notified by the company.
  • IPO size remains unclear but news reports peg the IPO size around Rs 15,000 crore.

Tata Capital will be the second Tata company to list on the public stock exchanges within 2 years following Tata Technologies IPO in 2023, after a two-decades long gap. The Rs 3,042.51 crores IPO of Tata Technologies was subscribed 69 times upon its launch and landed on public exchanges with a 140% premium.

Tata Capital was established in 2007 as a financial services subsidiary of the Tata Sons Limited. Being a NBFC, the company provides a range of financial services such as wealth management, loans, commercial finance and insurance etc. The company posted a revenue of Rs 18,198 crore in 2024, a 34% increase from the previous year.
